   • Make timely payments as per the agreed terms.
   • Review deliverables within the stipulated review timeline.
   • Comply with all applicable laws while using our services.
4. Payment Terms: Payment terms will be specified in the invoice or formal agreement. Services may require advance or milestone-based payments. Late payments may attract interest or service suspension.
5. Intellectual Property: All designs, code, strategies, and documents created by Idyaspark remain our intellectual property unless otherwise agreed in writing. Upon full and final payment, rights to the final deliverables may be transferred to the client.
6. Confidentiality: Both parties agree to maintain the confidentiality of any proprietary or sensitive information exchanged during the course of the engagement. Such information will not be disclosed to third parties without written consent.
7. Limitation of Liability: Idyaspark shall not be liable for any indirect, incidental, special, or consequential damages arising out of the use or inability to use our services or website.
8. Termination: Idyaspark reserves the right to terminate services or projects if:
   • The client violates any of these terms.
   • Payments are not made as per agreed timelines.
   • There is misuse or abuse of our services or resources.
9. Modifications: We may update these Terms & Conditions at any time. Updated versions will be posted on this page with the effective date. Continued use of the site or services implies acceptance of the updated terms.
10. Governing Law: These Terms shall be governed in accordance with the laws of the Republic of India. All disputes are subject to the jurisdiction of the courts of Chennai, Tamil Nadu.

Refund Policy

1. No Refund on Completed Services: No refunds will be issued for fully completed services or deliverables, including digital designs, development, consultancy, or marketing.
2. Advance or Booking Amount: Advance payments or booking fees are non-refundable, unless explicitly stated otherwise in a written agreement.
3. Project-Based Work: If a project is canceled by the client after initiation:
   • A partial refund may be considered based on the percentage of work completed and resources invested.
   • Cancellation requests must be submitted in writing via email.
4. Service Delays: In the event of a delay from our end (excluding force majeure), clients may choose:
   • an extended delivery timeline, OR
   • request a partial refund for the uncompleted portion.
5. Digital Products: Refunds will not be offered for any digital products (such as downloadable templates, design files, or code) once they are delivered or accessed.
6. Subscription Services: For services on a subscription or recurring basis (e.g., monthly maintenance, digital marketing):
   • No refunds for unused or partial service periods.
   • Clients must cancel at least 7 days before the next billing cycle to avoid charges.
7. Chargebacks: Unwarranted chargebacks will result in immediate suspension of services and may be subject to legal action for breach of contract.
